Welcome to the Fortune Angel Affiliate Program of FortuneAngel.com (the "Site"). Please read this Terms and Conditions Agreement (the "Agreement") carefully, because this Agreement contains legal obligations. If you do not agree to the Agreement, please do not join for the Fortune Angel Affiliate Program. This agreement describes the terms and conditions for participation in the Fortune Angel Affiliate Program. The terms "Affiliate", "Referral," and "you" are referring to you, the applicant. "We", "Program" and "Site" refer to the Fortune Angel Affiliate Program. We reserve the right at any time to:
AGREEMENT DURATION This agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party written notice of termination. MODIFICATION By posting a Change Notice or a new Agreement on this site, we may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. If any of the modifications are unacceptable to you, your only recourse is to terminate this Agreement. If you continue to participation in the program following the posting of a Change Notice or new Agreement, it will be considered as your acceptance of the change. Any changes we make will be effective immediately upon notice, which we may provide by means including, without limitation, posting on the Site, advertising on any print or any broadcast media, or email. Be sure to review this Agreement periodically to ensure familiarity with the most current version. REGISTRATION To become a Referral Member you must register with us. When and if you register to become a Member, you agree to provide accurate, current and complete information about yourself as prompted by our registration form, and to maintain and update your information to keep it accurate, current and complete. You agree that we may rely on your registration data as accurate, current and complete. You acknowledge that if your registration data is untrue, inaccurate, not current or incomplete in any respect, we reserve the right to terminate this Agreement. By becoming a Referral Member, you represent and warrant that you are at least 18 years old, which is the minimum required age to become a member. However, we cannot guarantee that each member is at least the required minimum age, neither do we accept responsibility or liability for any content, communication or other use or access of the Site by persons under the age of 18 in violation of these Agreement. Either you or FortuneAngel.com may terminate your monthly membership at any time, for any reason, effective upon sending written notice or email to the other party. We reserve the right to immediately suspend or terminate your access to the Site, without notice, upon any breach of this Agreement by you that is brought to our attention. Only one account is allowed per company or organization. You may use this account for as many domains and/or websites as you wish. You must be the owner of any copyrighted content displayed on your site. RELATIONSHIP OF PARTIES FortuneAngel.com and Affiliate are independent contractors under these Terms and Conditions, and nothing herein shall be construed to create a partnership, joint venture, agency, or employment relationship. Neither party pursuant to these Terms and Conditions has authority to enter into agreements of any kind on behalf of the other and neither party shall be considered the agent of the other. Under these Terms and Conditions, Affiliate is contracting solely to provide advertising services for FortuneAngel.com in accordance with these Terms and Conditions. FortuneAngel.com and you are independent parties and this Agreement will not form any legal financial partnership. You will receive 10 to 20% of the revenue as a commission from orders placed through your Affiliate Site. You need to provide your Referral ID in your link pages to identify your referred orders. Referral fees can only be earned between the acceptance of the Affiliate application and notice of termination. Commission will be calculated on the first day of each quarter (January, March, June and September). All commission funds will be paid by check in U.S. dollars. Minimum earnings to receive a payment is $50. Less than $50 in revenue to be paid will be brought over to the next quarter until at least $50 is earned, the affiliate will be paid. For affiliates outside the US and Canada, check payments will only be made on affiliate profits over $100. In this way, both affiliates and FortuneAngel.com can reduce banking costs. The other option is to choose the money transfer via PayPal. Other money transfer ways, the affiliate has to pay for the banking processing fee, which will be deduct from the commission.
If any customers' credit card chargeback, or fees, or returned checks from a returned order referred from you, the fee will be adjusted in your next commission payment. If you are a United States citizen or resident or other non-foreign person, participation in the Program, a valid USA social security number or company federal Tax ID must be provided for all payments made to US addresses. You agree for FortuneAngel.com to check validity and cross reference your SSN to the "payable to" name on the account. Payments will not be mailed until this requirement is properly satisfied. If the earnings is more than $1,000 a month, you may request to mail the commission check to you monthly. PAYMENT SCHEDULE Checks are mailed in the 2nd week of the following month of each quarter. (before January 15, April 15, July 15 and October 15). Money transfer via PayPal will be processed in the same time. PRIVACY POLICY Except as expressly provided in these Terms and Conditions, information submitted by Affiliate in connection with the Program shall be governed by the Fortune Angel Privacy Policy. DISCLAIMER OF WARRANTIES WE MAKE NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO THE AFFILIATE PROGRAM OR YOUR POTENTIAL TO EARN INCOME FROM THE FORTUNE ANGEL AFFILIATE PROGRAM. IN ADDITION, WE MAKE NO REPRESENTATION THAT THE OPERATION OF OUR SITE OR THE AFFILIATE SITES WILL BE UNINTERRUPTED OR ERROR-FREE, AND WE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR DOWN TIME. THE PRODUCTS AND SERVICES IN FORTUNEANGEL.COM ARE PROVIDED "AS IS," WITH NO WARRANTIES WHATSOEVER. ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS, ARE EXPRESSLY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW. TO THE FULLEST EXTENT PERMITTED BY LAW, FORTUNEANGEL.COM DISCLAIMS ANY WARRANTIES FOR THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE PRODUCTS AND SERVICES. TO THE FULLEST EXTENT PERMITTED BY LAW, ANY WARRANTIES FOR ANY INFORMATION OR ADVICE OBTAINED THROUGH THE PRODUCTS AND SERVICES. THIS AGREEMENT WILL BE GOVERNED BY THE LAWS OF THE UNITED STATES, WITHOUT REFERENCE TO RULES GOVERNING CHOICE OF LAWS. ANY ACTION RELATING TO THIS AGREEMENT MUST BE BROUGHT IN THE FEDERAL OR STATE COURTS LOCATED IN CALIFORNIA, AND YOU IRREVOCABLY CONSENT TO THE JURISDICTION OF SUCH COURTS. LIMITATION OF LIABILITY UNDER NO CIRCUMSTANCES SHALL FORTUNEANGEL.COM BE LIABLE FOR ANY DELAY OR FAILURE IN PERFORMANCE UNDER THESE TERMS AND CONDITIONS RESULTING DIRECTLY OR INDIRECTLY FROM ACTS OF NATURE, FORCES, OR CAUSES BEYOND ITS REASONABLE CONTROL, INCLUDING, WITHOUT LIMITATION, INTERNET FAILURES, COMPUTER EQUIPMENT FAILURES, TELECOMMUNICATION EQUIPMENT FAILURES, OTHER EQUIPMENT FAILURES, ELECTRICAL POWER FAILURES, STRIKES, LABOR DISPUTES, RIOTS, INSURRECTIONS, CIVIL DISTURBANCES, SHORTAGES OF LABOR OR MATERIALS, FIRES, FLOOD, STORMS, EXPLOSIONS, ACTS OF GOD, WAR, GOVERNMENTAL ACTIONS, ORDERS OF DOMESTIC OR FOREIGN COURTS OR TRIBUNALS, NON-PERFORMANCE OF THIRD PARTIES, OR LOSS OF OR FLUCTUATIONS IN HEAT, LIGHT, OR AIR CONDITIONING. UNDER NO CIRCUMSTANCES SHALL FORTUNEANGEL.COM BE LIABLE TO AFFILIATE ON ACCOUNT OF AFFILIATE'S PARTICIPATION IN THE PROGRAM, USE OR MISUSE OF THE PROGRAM, RELIANCE ON THE PROGRAM, INABILITY TO PARTICIPATE IN THE PROGRAM, OR FOR THE INTERRUPTION, SUSPENSION OR TERMINATION OF THE PROGRAM. SUCH LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES (EVEN IF FORTUNEANGEL.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SUCH LIMITATION OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM PARTICIPATION IN THE PROGRAM, USE OR MISUSE OF THE PROGRAM, RELIANCE ON THE PROGRAM, FROM INABILITY TO PARTICIPATE IN THE PROGRAM, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF THE PROGRAM (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES). SUCH LIMITATION SHALL APPLY, WITHOUT LIMITATION, TO THE COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOST PROFITS, OR LOST DATA. SUCH LIMITATION SHALL APPLY WITH RESPECT TO THE PERFORMANCE OR NON-PERFORMANCE OF THE PROGRAM OR ANY INFORMATION OR MERCHANDISE THAT APPEARS ON, OR IS LINKED OR RELATED IN ANY WAY TO, THE FORTUNEANGEL.COM NETWORK. SUCH LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SUCH LIMITATION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. COMPLAINTS To resolve a complaint regarding the Service or the Site, you should contact our Customer Support at supportservice@fortuneangel.com. GENERAL PROVISIONS This Agreement with you, set out in these Member Terms and Conditions, is governed by U.S. laws and you and we submit to the non-exclusive jurisdiction of the U.S. Courts in the event of any dispute regarding these Terms or the Service or the Site or any matter related thereto. This Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is hereby expressly excluded. This Agreement, accepted by you upon registering for the Service, contains the entire agreement between you and FortuneAngel.com regarding the Service and the Site, including the FortuneAngel.com. Privacy Policy. In the event of any conflict between the Privacy Policy and this Agreement, this Agreement shall control. Unless otherwise explicitly stated, the Terms will survive termination of your membership to the Service. This agreement shall terminate immediately and without notice if you breach any of the Terms, subject to the survival of all rights and reservations of FortuneAngel.com If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. The Member certifies that the Member has read and agrees to be bound by these FortuneAngel.com Member Terms and Conditions.
